Terms of Service

These terms apply to the hosted Prereasoner service at chat.prereasoner.com and the Prereasoner Sheets Copilot add-on. The service is operated by MailRecipe LLC. By using the service, you agree to these terms.

Using the service

You must be able to enter a binding agreement where you live and must use an account you are authorized to use. You are responsible for the spreadsheet data, questions, and other material you submit. You must have the rights and permissions needed to provide that material for processing.

Do not use Prereasoner to break the law, violate another person's rights, bypass access controls, distribute malware, disrupt the service, probe it without authorization, or submit regulated health, payment-card, or similarly sensitive data without a separate agreement and appropriate controls.

Google Sheets add-on

The add-on reads data from the spreadsheet in which you invoke it and sends the bounded workbook content and your question to Prereasoner to provide the requested analysis. It does not edit the spreadsheet. The add-on uses your Google identity to associate requests and saved conversations with your Prereasoner account. You can remove the add-on through Google Workspace Marketplace or your Google account settings.

Your data

You retain ownership of the data you submit. You grant MailRecipe LLC a limited right to host, transmit, copy, and process that data only as needed to provide, secure, support, and improve the service, meet legal obligations, and enforce these terms. The Privacy Policy explains the data flow, service providers, retention, and deletion process.

Results and appropriate review

Prereasoner is an analytical tool. Results can be incomplete or incorrect because of source-data quality, ambiguous questions, software limitations, or external reference data. Review the displayed reasoning steps, source rows, units, and calculations before relying on an answer. The service does not provide legal, medical, accounting, tax, investment, or other professional advice.

Service availability and changes

We may change, limit, suspend, or discontinue features to maintain security, reliability, legal compliance, or product quality. We may also apply reasonable usage limits. We aim to give notice of material changes when practical, but emergency security or reliability changes may take effect immediately.

Third-party services

Prereasoner relies on services including Google Cloud, Firebase, Google Workspace, and Anthropic. Their own terms can apply to your use of those services. MailRecipe LLC is not responsible for a third-party service outside its control.

Intellectual property

The service interface, hosted product, name, and branding are owned by MailRecipe LLC or its licensors. Separate open-source components are governed by their published licenses. These terms do not transfer ownership of your data or grant rights to use Prereasoner trademarks.

Suspension and termination

You can stop using the service at any time and request deletion as described in the Privacy Policy. We may suspend or terminate access when reasonably necessary to prevent harm, address a material breach, comply with law, or protect the service and other users.

Disclaimers

To the extent permitted by law, the service is provided “as is” and “as available.” MailRecipe LLC disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the service will be uninterrupted, error-free, or suitable for every dataset or decision.

Limitation of liability

To the extent permitted by law, MailRecipe LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or business opportunities arising from the service. MailRecipe LLC's aggregate liability arising from the service will not exceed the greater of US$100 or the amount you paid for the service during the 12 months before the event giving rise to the claim. These limits do not apply where applicable law does not permit them.

Governing law

These terms are governed by the laws of the State of California, excluding its conflict-of-law rules. Courts located in California have jurisdiction over disputes, except where consumer law gives you the right to bring a claim elsewhere.

Changes to these terms

We may update these terms. We will change the effective date and provide additional notice when a material change requires it. Continued use after an update takes effect means you accept the updated terms.
